Welcome to the NourishPay Program (the “Program”), operated by NourishPay, a program of the Grow Node Network DGF (“NourishPay,” “we,” “us,” or “our”). These Terms govern your access to, participation in, and use of the Program, including NourishPay NFTs, qualifying food purchases, receipt verification, and GROW rewards.

BY PURCHASING, ACQUIRING, ACTIVATING, OR USING A NOURISHPAY NFT; SUBMITTING A RECEIPT; ACCESSING A PROGRAM DASHBOARD; OR OTHERWISE PARTICIPATING IN THE PROGRAM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO THESE TERMS, THE NOURISHPAY PRIVACY POLICY, THE CURRENT NOURISHPAY APPROVED FOOD STANDARDS, AND ANY ADDITIONAL POLICIES EXPRESSLY INCORPORATED BY REFERENCE. Critical Disclosures and Risk Acknowledgment

Developmental Status — The Program, receipt verification, NourishPay NFTs, wallet connections, interfaces, reward calculations, integrations, and related features may be under development, in beta, pre-launch, or subject to phased availability. Features, timelines, food standards, technology, and benefits may change, be delayed, suspended, or discontinued as permitted by these Terms and applicable law.

Utility-Only Nature — NourishPay NFTs and GROW are intended as utility assets used in connection with the Grow ecosystem. A NourishPay NFT provides conditional access to the Program during its stated term. It does not represent equity, debt, revenue rights, ownership in NourishPay or Grow, a deposit account, insurance, a security, or a guaranteed-value product.

No Investment or Value Promise — The Program is designed to encourage qualifying whole-food purchases. It is not offered as an investment opportunity. We do not promise profit, appreciation, liquidity, resale value, yield, dividends, passive income, or any financial return. GROW may be volatile, illiquid, unavailable, or lose all value.

No Guaranteed Reward — Rewards are conditional. A receipt or purchase qualifies only after verification under these Terms and the Approved Food Standards. Rewards may be denied, reduced, delayed, recalculated, or reversed under the conditions described here.

No Medical, Nutrition, Legal, Tax, or Financial Advice — The Approved Food Standards are a Program eligibility policy, not individualized advice and not a statement that any food is safe or appropriate for every person.

1. Program Overview

The Program permits eligible participants to acquire a NourishPay NFT and submit itemized receipts through the NourishPay app for eligible whole-food purchases. After verification, a participant may receive a Program reward credited in GROW, subject to the participant’s level, monthly limits, these Terms, the Approved Food Standards, available Program resources, and applicable law.

The Program does not reimburse a participant in cash and does not pay the retailer, farm, producer, or other seller. Participants remain responsible for purchasing and paying for food, resolving merchant disputes, and determining whether a product is suitable for them.

2. Eligibility

  • Be at least eighteen years old or the age of legal majority where you live, whichever is higher.
  • Live in a jurisdiction where the Program, NourishPay NFTs, GROW, and required technology may lawfully be used.
  • Provide accurate, current, and complete account, identity, wallet, purchase, and receipt information.
  • Control the wallet and account used for participation and complete any required verification or compliance process.
  • Comply with these Terms, the Approved Food Standards, purchase limits, and applicable laws.

We may accept, deny, suspend, restrict, or terminate participation when reasonably necessary to administer the Program, prevent abuse, comply with law, protect participants, or address technical or resource limitations.

3. NourishPay NFTs and Program Levels

3.1 Utility Access — A NourishPay NFT is a utility token that provides conditional access to a particular NourishPay level for the stated Program term. It does not grant ownership, governance or voting rights, rights to Program reserves or any Grow treasury, or rights to future products or revenues.

3.2 Current Levels — The current levels have one-time NFT purchase prices of $250, $500, $1,000, and $1,500. Each purchase activates one NourishPay NFT for twelve monthly qualifying periods; it is not a monthly charge. The matching monthly qualifying-purchase requirements are $50, $100, $200, and $300. Standard reward values match those requirements. The all-Bonus-Partner maximums are $75, $150, $300, and $450.

3.3 Program Term — Each NourishPay NFT provides access for twelve consecutive monthly qualifying periods beginning upon activation. Unused eligibility does not roll over after expiration.

3.4 Activation and Wallet Binding — Activation requires a successful authorized purchase and a valid connected GROW wallet. Program eligibility is non-transferable; selling or transferring a token does not transfer participation rights, receipt history, rewards, or the remaining term.

4. Participation Limits and Node-Based Eligibility

A verified participant may purchase or hold up to four active NourishPay NFTs without owning a Grow node. Each verified active Grow node unlocks eligibility for up to four additional active NourishPay NFTs. One eligible Grow node permits up to eight active NourishPay NFTs in total; two eligible Grow nodes permit up to twelve, subject to verification and account limits.

When a participant has more than one active NourishPay NFT, the monthly qualifying-purchase requirements are added together. Multiple receipts may be combined, but each receipt line and qualifying dollar may be counted only once.

5. How the Program Works

  • Acquire an available NourishPay NFT through an authorized purchase channel.
  • Complete activation, onboarding, wallet setup, and any required verification.
  • Purchase eligible food with your own funds from a permitted seller.
  • Submit a clear, itemized receipt and requested evidence by the deadline.
  • Allow NourishPay to verify the participant, purchase, product eligibility, net amount, and absence of duplicate claims.
  • If approved, receive the applicable reward in GROW. Verified rewards are distributed by the fifth day of the month following verification, subject to Section 8.

6. Qualifying Purchases and Approved Food Standards

Only food and food ingredients that satisfy the current NourishPay Approved Food Standards count. Eligibility is determined item by item—not merely by store, merchant, brand, department, or marketing claim.

We may require an itemized receipt, label or UPC photograph, ingredient panel, certification, product page, producer documentation, or other current product-specific evidence.

Only the net amount actually paid for approved food items may qualify. Taxes, tips, delivery or service charges, shipping, memberships, gift cards, discounts, credits, refunds, rebates, and nonfood items do not count unless the current Standards expressly state otherwise.

The NourishPay Approved Food Standards, Launch Version 1.1, dated August 28, 2026, are incorporated into these Terms and control product-level eligibility, receipt review, and exclusions.

Prepared foods, restaurant meals, food counters, and meal-service purchases qualify only if NourishPay expressly activates that category and publishes verification rules. Sustainability, regenerative agriculture, local sourcing, and responsible production may inform future development, but those aspirations do not create current eligibility or guaranteed environmental outcomes.

7. Receipt Submission and Verification

Each participant receives twelve individual monthly qualifying periods. The first begins on activation, and later periods follow that activation date. Purchases must occur during the applicable period. Receipts may be submitted through a seven-day grace period after that period closes.

Each submission must be genuine, legible, complete, itemized, and attributable to the participant. NourishPay may request the original receipt, payment proof, product images, packaging, certification evidence, or merchant confirmation.

The NourishPay app is the primary receipt-submission channel and may display submission, review, information-request, approval, verification, and scheduled-distribution status.

For a farmers-market purchase, a traditional point-of-sale receipt is not required. A handwritten receipt, digital receipt, or app-generated seller record may qualify when it identifies the farmer or vendor, purchase date, food purchased, and final amount paid. The record must be seller-verified; participant-created proof or payment confirmation alone is insufficient.

The same receipt, transaction, product, expense, or payment may not be submitted more than once or claimed after a refund, chargeback, return, reimbursement, or other reversal.

8. Reward Calculation and Delivery

8.1 Level Limits — The full monthly qualifying-spend requirement must be met. Partial completion earns no reward. Spending above the requirement earns no additional reward and does not carry forward.

8.2 Bonus Partner Calculation — Specifically approved Bonus Partner products earn 1.5x on that portion of qualifying spend. Each qualifying dollar is counted once, and Bonus Partner spending counts first toward the monthly cap.

8.3 Use-It-or-Lose-It Monthly Rule — Unused qualifying-spend capacity and reward eligibility expire at the end of the applicable Program month.

8.4 GROW Quantity and Pricing Time — Rewards are credited in GROW, not U.S. dollars. When a complete claim is approved, one Elevate GROW price snapshot converts the verified dollar reward value into GROW, rounded to the nearest whole GROW, and locks that quantity for distribution.

8.5 Delivery — Approved rewards are distributed to the verified Grow-compatible wallet in a monthly batch no later than the fifth day of the month following verification.

8.6 Tax Treatment — Participants are responsible for determining, reporting, and paying taxes associated with NFT acquisition, food purchases, rewards, GROW, or Program participation.

9. Prohibited Conduct

  • Do not submit forged, altered, duplicated, purchased, stolen, refunded, or otherwise inauthentic receipts or evidence.
  • Do not claim another person’s purchase without authorization or submit the same purchase through multiple participants, wallets, programs, or accounts.
  • Do not misidentify a product, hide an excluded item, manipulate net payment, or provide misleading sourcing or certification information.
  • Do not use bots, scripts, exploits, multiple accounts, proxies, or coordinated activity to evade Program rules or obtain unearned benefits.
  • Do not use the Program for money laundering, sanctions evasion, fraud, unlawful activity, or violation of another person’s rights.

10. Third-Party Services

Authorized purchasing, account, wallet, and user-interface providers may provide pathways for NourishPay. Wallets, blockchains, exchanges, payment providers, merchants, price sources, verification services, and technology vendors are separate services unless expressly stated otherwise. Their own terms and privacy practices may apply.

NourishPay does not control and is not responsible for third-party availability, security, custody, transactions, fees, content, merchant performance, product safety, or legal compliance.

11. Costs and Fees

Participants are responsible for the NourishPay NFT purchase price and any transaction fees, wallet fees, gas, spreads, slippage, exchange charges, taxes, food costs, shipping, membership fees, internet access, or third-party expenses.

12. Final Sales, Cancellation, and Refunds

NourishPay enrollment purchases are final and non-refundable, except for duplicate charges, confirmed processing errors, failed activation, fraud, refunds legally required, or another exception expressly approved by NourishPay. Nothing limits any non-waivable consumer right required by law.

A participant may stop submitting receipts or request deactivation, but stopping participation does not create a refund right, extend the NFT term, or entitle the participant to compensation for unused eligibility.

NourishPay may suspend or terminate an account, NFT benefit, receipt, or reward for a material breach, suspected fraud, attempted circumvention, legal requirement, security risk, inaccurate information, abuse, or Program discontinuation.

13. Program Changes and Discontinuation

NourishPay may prospectively update the Approved Food Standards, evidence requirements, merchant treatment, reward calculations, timelines, supported wallets, eligibility rules, technology, or other Program features. Material changes will be posted or communicated when reasonably practicable and as required by law.

Changes should not retroactively remove an approved reward already delivered, except to correct fraud, duplicate payment, manifest error, legal violation, or another circumstance permitted by law.

14. Intellectual Property and Permitted Use

The NourishPay name, marks, artwork, software, content, standards, forms, and Program materials are owned by NourishPay, applicable Grow community rights holders, or licensors. Participants receive a limited, personal, revocable, non-exclusive, non-transferable license solely for lawful participation.

15. Privacy and Data

Program administration may require collection and processing of identity, contact, wallet, transaction, merchant, product, receipt, purchase, device, fraud-prevention, support, and compliance information. The NourishPay Privacy Policy will explain how information is collected, used, shared, retained, protected, and subject to participant rights.

Do not submit full payment-card numbers, bank credentials, passwords, private keys, seed phrases, government identification numbers, medical records, or unrelated personal information unless specifically and lawfully requested through a secure channel.

Publication item: insert the final Privacy Policy URL and legal contact/data-controller details before customer acceptance is enabled.

16. Disclaimers

To the fullest extent permitted by law, the Program, NourishPay NFTs, verification services, technology, content, and rewards are provided “as is” and “as available.”

NourishPay does not manufacture, prepare, sell, inspect, or take custody of food merely because a purchase qualifies. Merchants and producers remain responsible for their products.

17. Limitation of Liability

To the fullest extent permitted by law, NourishPay and its applicable affiliates, licensors, service providers, governance participants, committee members, agents, officers, employees, contractors, and representatives will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to the Program.

To the fullest extent permitted by law, aggregate liability will not exceed the amount the participant actually paid for the NourishPay NFT giving rise to the claim during the twelve months before the event. This does not exclude liability that cannot lawfully be limited.

18. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless NourishPay and the persons described in Section 17 from third-party claims arising from your fraud, unlawful conduct, breach of these Terms, misuse of the Program, violation of another person’s rights, or evidence you submit.

19. Governing Law and Dispute Resolution

These Terms are governed by the substantive laws of Switzerland, without regard to conflict-of-laws rules, unless mandatory consumer law requires otherwise. The parties will first attempt in good faith to resolve a matter through written notice and informal discussion. Subject to non-waivable consumer rights, unresolved disputes will be submitted to the competent courts in Lausanne, Switzerland.

Legal review: counsel must confirm the participant-contract jurisdiction and any required consumer, arbitration, class-action, or venue language before customer acceptance is enabled.

20. Notices and Contact

NourishPay may provide notices electronically through the Program interface, participant account, email, wallet-linked communication, or the official NourishPay program site at nourishpay.app. Participants are responsible for maintaining accurate contact information and reviewing notices.

21. Miscellaneous

These Terms, the Privacy Policy, current Approved Food Standards, applicable checkout disclosure, and incorporated policies form the entire agreement concerning Program participation.

If Program documents conflict, the order of precedence is: a signed individual agreement; the applicable checkout disclosure; these Terms; the Approved Food Standards and evidence guide; and promotional or educational content.

If a provision is invalid or unenforceable, it will be limited only to the minimum extent necessary. Failure to enforce a provision is not a waiver. Participation does not create employment, partnership, joint venture, fiduciary duty, franchise, or agency.

Final Acknowledgment

By participating, you acknowledge the Program’s developmental status, conditional eligibility rules, final-sale policy, receipt-verification requirements, digital-asset risks, absence of investment or value guarantees, and your responsibility to review the current Approved Food Standards and checkout disclosure.

Schedules A and B

Schedule A — The full monthly requirement must be met; there is no partial reward, no rollover, and no additional reward above the requirement. One Elevate price snapshot at claim approval locks the whole-GROW quantity; verified rewards are distributed by the fifth day of the month following verification.

Schedule B — The NourishPay Approved Food Standards, Launch Version 1.1, dated August 28, 2026, control product-level food eligibility. Prepared foods and restaurant purchases are excluded at launch unless NourishPay formally activates that category and publishes rules. Vitamins, pills, and dietary supplements do not count as food.
